Terms of Service
These Terms of Service (“Terms”) govern your use of the website and the cloud communications services, Voice AI features, apps and equipment provided by Net3PBX, a CAB3 Group company (“Net3PBX,” “we,” “us”). By ordering or using the Services, you (“Customer,” “you”) agree to these Terms. If you accept on behalf of a business, you confirm you have authority to bind it. A signed order or service agreement controls if it conflicts with these Terms.
1. The Services
Net3PBX provides hosted PBX, SIP trunking, unified communications, contact center and Voice AI services, as described in your order. We may improve or change features over time, but will not materially reduce the core Services you’ve paid for during a billing period without notice.
2. Emergency calling (911) limitations
Please read carefully. 911 service over internet-based phone service works differently from traditional phone service. 911 calls may not work, or may be delayed, during a power outage, an internet or network outage, or if your service is suspended.
You must give us an accurate registered location (dispatchable address) for every number and device, and update it whenever a device moves. If you don’t, emergency responders may be sent to the wrong place. Softphone and mobile app users may need to confirm their location. You must tell everyone who uses the Services about these limitations, and you agree to place the warning labels we provide on or near your devices.
To the extent allowed by law, Net3PBX and its providers are not liable for any claim arising from the use or failure of 911 service.
Parker and other Voice AI features are not emergency services and cannot place or receive 911 calls on anyone’s behalf.
3. Your responsibilities
- Recording consent. Some states, including Florida and California, require every party’s consent to record a call. You are responsible for playing appropriate recording announcements and getting any consent required for calls you record or that Voice AI handles.
- AI disclosure. You are responsible for disclosing the use of AI agents to callers where the law requires it. We recommend that Parker always identify itself as an AI.
- Telemarketing and texting laws. You must comply with the Telephone Consumer Protection Act, the Telemarketing Sales Rule, do-not-call rules, state telemarketing laws, carrier texting rules (including A2P 10DLC registration) and CAN-SPAM. You must have the consent required before placing automated, prerecorded or AI-voiced calls, or sending marketing texts.
- Account security. Keep passwords and devices secure. You are responsible for all usage and charges on your account, including charges from unauthorized use or toll fraud caused by your credentials or equipment.
- Accurate information. Give us accurate account, billing and E911 information and keep it current.
4. Acceptable use
You may not use the Services to:
- Make illegal robocalls, spoof caller ID to deceive, or send spam or unsolicited messages.
- Harass, threaten or defraud anyone, or impersonate a person or business.
- Use AI voices to mislead callers about who they are speaking with in violation of law.
- Break any law, infringe anyone’s rights, or interfere with our network or other customers.
- Resell the Services without a written partner agreement.
We may suspend Services immediately to stop fraud, illegal activity or harm to our network, and will notify you when practical.
5. Voice AI features
Voice AI responses are generated automatically and may sometimes be inaccurate or incomplete. You are responsible for the information, instructions and knowledge you give the AI, and for reviewing its configuration before it goes live. Do not configure Voice AI to give medical, legal or financial advice, or to collect payment card numbers, unless we have agreed in writing to a compliant setup. Voice AI features use third-party AI and speech providers, as described in our Privacy Policy.
6. Phone numbers and porting
We port eligible numbers to Net3PBX at no charge. Porting timelines depend on the losing carrier. You keep the right to port your numbers away, provided your account is in good standing. Numbers left inactive after service ends may be released.
7. Fees, billing and taxes
Fees are set out in your quote or order and billed monthly in advance, except usage-based charges, which are billed in arrears. Prices do not include taxes and government or regulatory fees, which we may pass through. Late balances may result in suspension after notice.
8. Term, cancellation and 30-day money-back guarantee
Services are month-to-month unless your order says otherwise. You may cancel with 30 days’ written notice.
If you are not satisfied, you may cancel within 30 days of your initial service activation and receive a full refund of the recurring monthly service fees you paid. The guarantee does not cover usage-based charges (such as international calls), taxes and regulatory fees, or equipment that is not returned in its original condition. It applies once per customer.
9. Service level agreement
We target 99.99% monthly availability of the core calling platform. If we miss that target, you may request service credits as described in our Service Level Agreement. Credits are your sole remedy for downtime. The SLA excludes scheduled maintenance, outages caused by your internet connection, equipment or configuration, third-party carrier failures outside our network, and events beyond our reasonable control.
10. Support
Live technical support is available from our US-based team Monday through Friday, 8am to 6pm Eastern Time, excluding major holidays. Requests received outside those hours are handled the next business day.
11. Equipment
Purchased equipment carries the manufacturer’s warranty. Rented or loaned equipment must be returned in good condition when service ends, or you may be charged its replacement cost.
12. Disclaimer of warranties
Except as expressly stated in these Terms, the Services are provided “as is” and “as available,” and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Services will be uninterrupted or error-free.
13. Limitation of liability
To the fullest extent allowed by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Net3PBX’s total liability for any claim relating to the Services is limited to the fees you paid in the three months before the claim arose.
14. Indemnification
You will defend and indemnify Net3PBX against claims arising from your violation of these Terms or the law, including claims about call recording, telemarketing, texting or the content you send through the Services.
15. Governing law and disputes
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Davidson County, Tennessee, and each party consents to that venue.
16. Changes to these Terms
We may update these Terms by posting a new version here. Material changes take effect 30 days after posting, unless the law requires otherwise. Continued use of the Services after that means you accept the changes.
